These Terms of Service ("Terms") govern your use of the website gotchaa-lab.com and any services provided by Gotchaa Lab ("we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

Gotchaa Lab provides custom software development, SaaS product development, mobile application development, AI systems development, data analytics, web development, and cybersecurity services. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate project agreement or proposal signed by both parties.

2. Website Use

You agree to use our website only for lawful purposes and in a manner that:

  • Does not infringe on the rights of any third party
  • Does not restrict or inhibit other users from using the website
  • Does not attempt to gain unauthorised access to our systems or infrastructure
  • Does not transmit malicious code, spam, or harmful content

3. Intellectual Property

Project Deliverables

Intellectual property ownership for custom software and project deliverables is governed by the specific project agreement between Gotchaa Lab and the client. Unless otherwise stated in the project agreement, full ownership of custom-built software transfers to the client upon final payment. We retain the right to reuse general-purpose code libraries, frameworks, and development tools that are not specific to the client's business logic.

4. Project Agreements

All software development engagements are subject to a separate project agreement that outlines:

  • Scope of work and deliverables
  • Project timeline and milestones
  • Pricing and payment schedule
  • Acceptance criteria and testing procedures
  • Warranty and post-launch support terms

In the event of any conflict between these Terms and a signed project agreement, the project agreement takes precedence.

5. Payment Terms

Payment terms are specified in each project agreement. General terms apply unless otherwise agreed:

  • A deposit (typically 30-50% of the project value) is required before work commences
  • Progress payments are invoiced at milestones defined in the project agreement
  • Invoices are payable within 14 days of the invoice date
  • All prices are quoted in Malaysian Ringgit (MYR) unless otherwise stated
  • Late payments may incur a charge of 1.5% per month on the outstanding balance

6. Warranties and Disclaimers

Software Warranty

We warrant that software deliverables will function in accordance with the agreed specifications for a period of 90 days following delivery and acceptance. During this warranty period, we will fix bugs and defects at no additional cost. This warranty does not cover issues arising from modifications made by third parties, misuse, or changes in third-party APIs or services.

7. Limitation of Liability

To the maximum extent permitted by Malaysian law, Gotchaa Lab shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

  • Any errors or omissions in our website content
  • Unauthorised access to or alteration of your data
  • Statements or conduct of any third party on our website

Our total liability for any claim arising from a project engagement shall not exceed the total fees paid by you for that specific project.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during a project engagement. This includes business strategies, technical specifications, source code, trade secrets, and financial information. Confidentiality obligations survive the termination of any project agreement for a period of 2 years.

9. Termination

Either party may terminate a project engagement by providing 30 days written notice. In the event of termination:

  • The client pays for all work completed up to the termination date
  • Gotchaa Lab delivers all completed work and source code to the client
  • Any prepaid fees for undelivered work are refunded on a pro-rata basis

We reserve the right to terminate a project immediately if the client breaches these Terms or the project agreement, or fails to make payment within 30 days of the due date.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Malaysia. Both parties agree to attempt good-faith negotiation and mediation before pursuing litigation.

11. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our website after changes are posted constitutes acceptance of the revised Terms.
